
Dakota Gold Corp. is a privately held company focused on investing in mineral resource development opportunities, providing support to management teams as they advance projects. JR's sole investment and primary focus is its majority stake in Dakota Territory Resource Corp. and the completion of the merger and consolidation agreements described herein. Dakota Territory Resource Corp., a Nevada corporation headquartered in Lead, South Dakota, was incorporated in Nevada on February 6, 2002. The company is engaged in the acquisition and exploration of mineral resources within the Homestake District of South Dakota. Although development and mining operations have not yet commenced, Dakota’s strategic plan is to transition projects from exploration to development and ultimately into production, based on the outcomes of exploration and development activities. Dakota holds 100% ownership of eight mineral properties in the Homestake District, encompassing approximately 1,700 unpatented claims combined with a mix of surface leases and ownership interests, covering roughly 29,300 acres. These properties include Maitland, Blind Gold, City Creek, Tinton, West Corridor, Ragged Top, Poorman Anticline, and Basal Deadwood-Unconformity, all centrally located within the Homestake District. Additionally, Dakota has stakes in certain surface rights and remaining facilities within the Homestake District through option agreements with Homestake Mining Company of California ("HMC").
